This User Agreement (the “Agreement”) is a legal contract between you (“Client”, “you”) and Kioo Agency (“we”, “our”, “us”), governing your use of our services and website https://kioo.agency (the “Site”). By using our services or Site, you agree to comply with the terms outlined below. This Agreement outlines the services provided, payment terms, client responsibilities, and other important conditions for our partnership.

1. Services Provided
Kioo Agency offers custom website design, development, hosting, domain registration, and ongoing maintenance services tailored to the construction and contracting industry. Services may include, but are not limited to:

Custom design and development
Hosting and domain registration (one domain included)
Email setup (one email address included)
Slack communication for direct support
SEO optimization and analytics integration
Social media and Google Analytics integration
Monthly updates, including security and content changes

2. Payment Terms and Subscription Model
Our services are provided on a monthly subscription basis. Payments are due at the beginning of each billing cycle. Clients can cancel their subscription at any time, but no refunds will be given for the current month’s fees.

Refund requests under the 30-day money-back guarantee will exclude the cost of domain registration. Upon cancellation, all services will be discontinued at the end of the current billing cycle, and access to hosting and other features will be terminated.

3. Project Timeline and Delivery
We aim to deliver completed websites within two weeks of receiving all required materials from the client. However, the project may take up to one month depending on scope and client responsiveness.

Clients are responsible for providing timely feedback, content (such as images and text), and any necessary approvals to ensure the timely completion of the project.

4. Client Responsibilities

You agree to:

Provide accurate and up-to-date information required for the completion of your project.
Engage in the communication channels provided (Slack) for efficient collaboration.
Notify us of any required changes or issues related to your website in a timely manner.
While Kioo Agency provides design, development, and content services, it is the client’s responsibility to ensure that all information provided for inclusion on their website is accurate, complete, and up-to-date.

Kioo Agency is not liable for any incorrect, misleading, or false information related to the client’s services, products, or any other content on the website. The client is responsible for reviewing all content and notifying Kioo Agency of any necessary updates or corrections. Failure to do so may result in incorrect or misleading information being displayed, for which Kioo Agency will not be held responsible.

5. Intellectual Property
All content, code, designs, and assets created by Kioo Agency as part of the subscription service remain the intellectual property of Kioo Agency. Clients are granted a license to use the website and its associated materials for the duration of their subscription. Upon cancellation or termination of the subscription, the client’s access to the website and related assets will be revoked unless an agreement for transfer of ownership is made.

Clients do not have the right to resell, distribute, or replicate the website or any part of the intellectual property unless explicitly agreed upon in writing. Ownership of the domain remains with Kioo Agency, as we handle the registration. The client may request the transfer of the domain only after payment for the remaining subscription period is completed in full.

6. Hosting and Domain Management
Hosting services are provided as part of your subscription, we do not offer hosting as a separate service. We include domain registration if needed for one domain name as part of the initial setup. If you cancel services, you may request a domain transfer under your ownership, but hosting will be discontinued.

SSL certificates are included for your website’s security. We handle Google Analytics integration, including basic configuration, as part of our services.

7. Communication and Support
We provide direct communication via a dedicated Slack channel for real-time support. You can use this channel for project updates, questions, and ongoing support requests.

Monthly updates include security patches, content updates, and website optimizations to ensure ongoing performance and security.

8. Limitations of Liability
Kioo Agency will not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services. This includes, but is not limited to, downtime, data loss, or service interruptions.

9. Cancellation and Termination
Either party may terminate the Agreement at any time by providing written notice. Upon termination, any unpaid balances will become due immediately, and all services provided will cease at the end of the current billing cycle. Domain ownership will be retained by the client, but hosting and other services will be discontinued unless transferred.

10. Privacy and Data Protection
We handle personal data in accordance with our Privacy Policy. By using our Site and services, you agree to the collection and use of your data as outlined in that policy.

12. Changes to the Agreement
We may update this Agreement from time to time. Clients will be notified of any changes, and continued use of the services or Site implies acceptance of the updated terms.
